Terms of Sale
These Terms govern every purchase of hábit products. Read them in full — by placing an order, you agree to be bound.
These Terms of Sale (“Terms”) govern the purchase of products from hábit research, inc., a Delaware corporation (“hábit”), through its website, customer service channels, or any other authorized point of sale. By placing an order, you agree to these Terms. If you do not agree, do not place an order.
01Eligibility
You represent and warrant that you are: (a) at least 21 years of age; (b) a qualified researcher as defined in our Research Use Only Notice; (c) authorized to bind any entity on whose behalf you are purchasing; and (d) located in a jurisdiction where the purchase and possession of the products is lawful.
02Orders and Acceptance
All orders are offers to purchase and are subject to acceptance by hábit. We reserve the right to refuse, modify, or cancel any order at our sole discretion. Order confirmation emails are receipts of submission, not confirmations of acceptance.
03Pricing and Payment
All prices are listed in U.S. dollars (USD) and are exclusive of applicable taxes, duties, and shipping fees. Prices are subject to change without notice. Payment is due in full at the time of order. By providing payment information, you represent that you are authorized to use the payment method and authorize hábit to charge the full order amount.
04Title and Risk of Loss
Title to and risk of loss for products pass to you upon delivery to the carrier at hábit’s facility (FOB Origin). Claims for loss or damage in transit must be made directly to the carrier, except as expressly provided in our Shipping Policy.
05Limited Warranty
hábit warrants that products will, at the time of shipment, conform to the specifications stated on the applicable Certificate of Analysis. This is the sole and exclusive warranty offered by hábit. All other warranties, express or implied, are disclaimed to the fullest extent permitted by law.
06Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HÁBIT’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL HÁBIT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
07Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association, seated in Wilmington, Delaware. You waive any right to participate in a class action or class arbitration.
