Terms of Sale

These Terms govern every purchase of hábit products. Read them in full. By placing an order, you agree to be bound.

These Terms of Sale (“Terms”) govern the purchase of products from Devolve Corp, a Florida corporation doing business as hábit (“hábit”), through its website, customer service channels, or any other authorized point of sale. By placing an order, you agree to these Terms. If you do not agree, do not place an order.

01Eligibility

You represent and warrant that you are: (a) at least 21 years of age; (b) a qualified researcher as defined in our Research Use Only Notice; (c) authorized to bind any entity on whose behalf you are purchasing; and (d) located in a jurisdiction where the purchase and possession of the products is lawful.

02Orders and Acceptance

All orders are offers to purchase and are subject to acceptance by hábit. We reserve the right to refuse, modify, or cancel any order at our sole discretion. Order confirmation emails are receipts of submission, not confirmations of acceptance.

03Pricing and Payment

All prices are listed in U.S. dollars (USD) and are exclusive of applicable taxes, duties, and shipping fees. Prices are subject to change without notice. Payment is due in full at the time of order. By providing payment information, you represent that you are authorized to use the payment method and authorize hábit to charge the full order amount.

04Title and Risk of Loss

Title to and risk of loss for products pass to you upon delivery to the carrier at hábit’s facility (FOB Origin). Claims for loss or damage in transit must be made directly to the carrier, except as expressly provided in our Shipping Policy.

05Limited Warranty

hábit warrants that products will, at the time of shipment, conform to the specifications stated on the applicable Certificate of Analysis. This is the sole and exclusive warranty offered by hábit. All other warranties, express or implied, are disclaimed to the fullest extent permitted by law.

06Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HÁBIT’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL HÁBIT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

07Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association, seated in Ft. Lauderdale, Florida. You waive any right to participate in a class action or class arbitration.

08hábit plus

hábit plus is our points programme for account holders. Points are research credit redeemable only as a discount on a future hábit order: they have no cash value, are not transferable, cannot be sold, and are not an inducement to any particular use of the materials. Membership is free, requires no purchase, and may be ended by either party at any time.

  • Earning. One point per $1 of research materials, net of every discount; shipping and tax earn nothing. 100 points when an account’s email is verified. Points on an order are credited when it is paid and reversed if it is refunded or charged back.
  • Redeeming. Points are worth $0.05 each and may be applied, in whole dollars, to cover up to 75% of the research materials on an order; the balance of the order and all shipping and tax are paid by card. One reward per order. A redemption is not returned if the order is later refunded.
  • Colleague codes. Each member has a personal code. A colleague who uses it, once, at checkout receives a percentage off their orders of research materials, of any size, for as long as the link exists; the member receives points when each of those orders ships. Members may not use their own code, and a code may link no more than ten new buyers in any 30 days. Nothing is paid for a sign-up, a registration, or an introduction that does not result in a shipped order, and no member earns anything from purchases made by people their colleagues introduced.
  • Status levels. Levels are earned only through points from colleagues’ shipped orders, never through a member’s own purchases. A member may apply for a level once its threshold is reached; we decide each application individually and may decline or revoke a level after review.
  • Expiry and review. A balance with no activity for 12 months expires. Referral earnings are reviewed at least once a year. We may correct, hold, or reverse points issued in error or through misuse, and may change or end the programme on notice; accrued points remain redeemable for 60 days after any such notice.
